Welcome to Convene Health. These Terms of Service ("Terms") govern your use of our website and healthcare concierge services. By accessing or using our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you may not use our services.

Important Notice: Not for Emergencies

CONVENE HEALTH IS NOT AN EMERGENCY SERVICE. OUR SERVICES ARE NOT APPROPRIATE FOR MEDICAL EMERGENCIES.

If you think you have a medical or mental health emergency, or if you are experiencing symptoms that require immediate medical attention, please call 911 or go to the nearest emergency room immediately. Do not use Convene Health to seek emergency care.

1. Description of Services

Convene Health provides healthcare concierge and care coordination services, including:

  • Connecting patients with appropriate healthcare providers and specialists
  • Coordinating appointments and consultations
  • Facilitating second opinions from medical experts
  • Providing healthcare navigation assistance
  • Offering personalized care coordination services

Convene Health does not provide medical advice, diagnosis, or treatment. We are a concierge service that helps connect you with licensed healthcare professionals. All medical decisions should be made in consultation with qualified healthcare providers.

2. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete information when requested
  • Use the services only for lawful purposes

3. User Responsibilities

When using our services, you agree to:

  • Provide accurate, current, and complete information about yourself and your healthcare needs
  • Maintain the confidentiality of any account credentials
  • Promptly update any information that changes
  • Notify us immediately of any unauthorized use of your account
  • Comply with all applicable laws and regulations
  • Treat our staff and healthcare partners with respect

You are responsible for all activities that occur under your account or using your contact information.

4. Fees and Payment

Convene Health charges a Convene fee for our concierge services. Specific fees will be disclosed before you engage our services. By using our paid services, you agree to pay all applicable fees.

Please note:

  • Our fees are for concierge and coordination services only
  • Healthcare provider fees, medical costs, and insurance co-payments are separate and your responsibility
  • We do not guarantee insurance coverage for any services arranged through us
  • Payment terms will be specified in your service agreement

5. Healthcare Provider Relationships

Convene Health connects you with independent healthcare providers. Please understand that:

  • Healthcare providers are independent professionals, not employees of Convene Health
  • We do not control or direct the medical care provided by healthcare professionals
  • Any relationship you establish with a healthcare provider is between you and that provider
  • We are not responsible for the acts or omissions of any healthcare provider
  • You should independently verify the credentials and qualifications of any provider

While we work only with licensed and qualified healthcare providers, the ultimate responsibility for your healthcare decisions rests with you and your chosen providers.

6. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Convene Health or our content suppliers and is protected by intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from our website without our prior written consent.

7. Prohibited Conduct

You agree not to:

  • Use our services for any unlawful purpose
  • Provide false or misleading information
  • Impersonate any person or entity
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to our systems
  • Transmit viruses, malware, or other harmful code
  • Harvest or collect information about other users

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that services will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy or reliability of any information
  • Warranties regarding the quality of any healthcare providers or services

We do not warrant that our services will meet your specific requirements or expectations. Any reliance on our services is at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVENE HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Any damages resulting from your use or inability to use our services
  • Any damages resulting from unauthorized access to or alteration of your data
  • Any damages resulting from the conduct or content of any third party, including healthcare providers

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Convene Health and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Conduct harmful to other users or our business

Upon termination, your right to use our services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive.

12. Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be resolved as follows:

  • Informal Resolution: We encourage you to contact us first to attempt to resolve any dispute informally.
  • Binding Arbitration: If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
  • Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Convene Health.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
